These Terms and Conditions ("Terms") govern your access to and use of our website, www.theorylabsworkshop.com (the “Site”), and all associated services, including but not limited to virtual and in-person workshops, strategy sessions, facilitation, and consulting services (collectively, the "Services").
By accessing or using our Site or Services, you acknowledge and agree to these Terms. If you do not agree, you must discontinue use of our Site and Services immediately.
2. Who We Are
Theory Labs Workshop LLC is a limited liability company registered in the State of Indiana. We provide strategic facilitation, business workshops, and decision-making frameworks for individuals and teams. We operate virtually and in person, offering both group and one-on-one engagements.
We are not attorneys, financial advisors, accountants, licensed consultants, or mental health professionals.

4. Payments, Refunds & Cancellations

Prices for Services may change at any time, but changes will not affect existing bookings.
b. Refund Policy

No refunds will be issued once a workshop or consulting session has started.

Cancellations made at least 7 days before the scheduled session may be eligible for a 50% refund.

Cancellations made less than 7 days in advance are non-refundable but may be rescheduled at our discretion.

If we cancel a session for any reason, you will receive a full refund or an option to reschedule.
c. No-Show Policy

If you fail to attend a scheduled session without prior notice, you forfeit your payment, and no reschedule will be provided.
5. Intellectual Property & Use of Materials

All workshop materials, frameworks, strategies, and methodologies provided by Theory Labs Workshop LLC are protected by copyright, trademark, and intellectual property laws.

You may not copy, modify, distribute, resell, or share any materials from our Services without explicit written permission.

Any custom strategies or consulting insights provided to you are licensed for your personal or business use only and may not be resold, republished, or shared externally.
Unauthorized use of our materials may result in legal action.
6. Disclaimer of Warranties & Limitation of Liability

Our Services provide strategic insights and facilitation but do not guarantee specific business, financial, personal, or professional outcomes.

In no event shall our total liability exceed the amount you paid for Services in the six months prior to any claim.

7. Client Conduct & Participation Expectations
To maintain a professional and respectful environment:

You agree to act respectfully toward facilitators, other participants, and the process itself.

Harassment, discrimination, or disruptive behavior will not be tolerated and may result in immediate removal without refund.

If you participate in a group workshop, you must maintain confidentiality and not disclose any private business details of other participants.
Violations of these expectations may result in termination of Services without refund.
8. Confidentiality & Data Protection

We do not sell, rent, or share your personal or business data with third parties, except as required by law or outlined in our Privacy Policy.

You may be required to sign additional NDAs for certain consulting engagements.
If you choose to share confidential business details during a workshop or session, you do so at your own discretion.
9. Force Majeure (Unforeseen Events)
We are not liable for service disruptions caused by events beyond our control, including but not limited to:

Natural disasters, power outages, or technical failures.

Acts of war, terrorism, or government restrictions.

Public health emergencies or global crises.
If such events prevent us from delivering Services as scheduled, we will make reasonable efforts to reschedule or offer an alternative solution.
10. Changes to These Terms
We reserve the right to update or modify these Terms at any time.

Changes will be posted on our Site and take effect immediately.

Continued use of our Services after changes means you accept the updated Terms.
If you do not agree with any changes, you must stop using our Services.
11. Dispute Resolution & Governing Law

Any disputes will first be attempted to be resolved informally. If a resolution cannot be reached, disputes will be settled through binding arbitration in Indiana.

You waive the right to participate in class-action lawsuits against Theory Labs Workshop LLC.
If arbitration is required, each party will bear its own legal costs unless otherwise determined by the arbitrator.
